1. Agreement to Terms

By accessing or using DevFreelance services, operated by ToolBoxesAI, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

2. Services Provided

DevFreelance, as the custom development arm of ToolBoxesAI, offers web development services including but not limited to:

• Frontend development (HTML, CSS, JavaScript, React, and related frameworks)
• Backend development (APIs, databases, and server logic across modern stacks)
• Full-stack web applications
• UI/UX design and responsive web design
• Deployment, maintenance, and post-launch support

All services are provided on a project basis as outlined in individual project proposals and agreements.

3. Client Responsibilities

As a client, you agree to:

• Provide all necessary materials and information in a timely manner
• Review deliverables and provide feedback within agreed timeframes
• Make timely payments as outlined in the project agreement
• Adhere to project timelines and milestones
• Obtain necessary permissions for any third-party materials provided

4. Payment Terms

Payment terms will be specified in the project proposal and may include:

• Deposit required before work begins (typically 20–30% of total project cost)
• Milestone payments for larger projects
• Final payment upon project completion and delivery

We invite you to propose a quote that aligns with your budget, and we will review it.

5. Intellectual Property

Upon receipt of full payment, the client will own the final delivered product. ToolBoxesAI and DevFreelance retain the right to:

• Use the work as examples for future clients
• Reuse techniques, technologies, and generic code developed during the project

Any third-party materials (fonts, images, etc.) may be subject to their own licensing terms.

6. Revisions and Changes

The project proposal will include a specified number of revision rounds. Additional revisions may be subject to additional charges. Significant changes to project scope after work has begun may require a new project proposal and adjustment to timeline and budget.

7. Project Timeline

Project timelines will be established in the project proposal. Delays caused by the client (such as late feedback or materials) may result in adjustments to the delivery schedule. We will make reasonable efforts to meet agreed deadlines but cannot guarantee exact delivery dates when scope or dependencies change.

8. Termination

Either party may terminate a project with written notice. Upon termination:

• The client will pay for all work completed up to the termination date
• We will deliver all completed work to the client
• Any deposits paid for completed work are non-refundable

9. Limitation of Liability

Our liability for any claims related to the services we provide is limited to the total amount you have paid for those specific services. We are not responsible for any indirect or consequential damages.

10. Confidentiality

We agree to keep confidential all proprietary information shared by the client, except when required by law or when necessary to perform the services.

11. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which ToolBoxesAI operates, without regard to its conflict of law provisions.

12. Changes to Terms

ToolBoxesAI reserves the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
